Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and 3Stars Consulting LLC, doing business as odooPXL (“odooPXL”, “we”, “us”, or “our”), governing your access to and use of the odooPXL platform, website, Odoo module, JavaScript tracker, API, and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

odooPXL provides a server-side marketing intelligence platform for Odoo ERP, including:

• Server-side conversion tracking and signal delivery to ad platforms (Meta CAPI, Google Ads, TikTok Events API, LinkedIn CAPI, Snapchat CAPI, Pinterest CAPI, Microsoft UET)
• Multi-touch attribution modeling and analytics
• An Odoo module for versions 16, 17, 18, and 19 that integrates with the platform
• A JavaScript tracker for client-side event capture
• A customer portal for configuration, reporting, and billing management
• REST APIs for programmatic access

3. Account Registration & Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and API keys. You must notify us immediately at security@odoopxl.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to:

• Use the Service to track individuals without lawful basis (e.g., without valid consent where required)
• Send fabricated or artificially inflated conversion events
• Attempt to reverse-engineer PII from hashed identifiers
• Exceed your plan's event quota by circumventing rate limits
• Use the Service for any purpose that violates applicable law or ad platform policies
• Resell access to the Service without a valid partner agreement
• Interfere with or disrupt the Service infrastructure

5. Odoo Module License (OPL-1)

The odooPXL Odoo module is licensed under the Odoo Proprietary License v1.0 (OPL-1). Under this license:

• You receive a non-exclusive, non-transferable right to use the module on the number of Odoo instances covered by your subscription plan
• You may not modify, decompile, reverse-engineer, or create derivative works of the module
• You may not redistribute, sublicense, or share the module source code with third parties
• The module license is tied to your active odooPXL subscription and terminates when your subscription ends
• The module requires an active odooPXL backend connection to function

6. Plans, Billing & Payment

Subscription plans: The Service is offered in tiered plans (Free, Starter, Pro, Enterprise) with defined event quotas and feature access as described on our Pricing page.

Billing: Paid plans are billed monthly or annually in advance via Stripe. All fees are quoted in USD and are non-refundable except as required by law.

Trials: Paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must select a paid plan to continue accessing paid features.

Overages:If you exceed your plan's event quota, we will notify you at 80% and 100% usage. Events exceeding your quota are queued for up to 48 hours. You must upgrade your plan or purchase an event pack to release the queue. We reserve the right to suspend event delivery if overages persist beyond 48 hours.

Price changes:We may change pricing with 30 days' written notice. Price changes take effect at the start of your next billing cycle.

7. Data Processing

You retain ownership of all data you submit to the Service. We process your data as a Data Processor on your behalf, in accordance with our Privacy Policy and Data Processing Agreement (DPA).

You are responsible for ensuring that your use of the Service complies with applicable data protection laws (including GDPR and CCPA) and that you have obtained all necessary consents from your end-users before transmitting their data through the Service.

8. Intellectual Property

The Service, including all software, documentation, APIs, trademarks, and content, is owned by odooPXL and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during the subscription term.

You retain ownership of your data and any content you create using the Service (e.g., custom attribution models, funnel designs, audience definitions).

9. Service Level & Availability

We target 99.9% uptime for the platform API, measured monthly. Planned maintenance windows will be communicated at least 48 hours in advance. Enterprise plans include a formal SLA with defined remedies for downtime.

We are not responsible for downtime caused by factors outside our control, including internet disruptions, Odoo instance unavailability, or ad platform API outages.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODOOPXL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST PROFITS, LOST AD SPEND, OR DATA LOSS, ARISING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us during the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that conversion data will be 100% accurate, that ad platform APIs will accept all signals, or that the Service will recover all lost conversions. Attribution models are approximations based on available data.

12. Termination

By you: You may cancel your subscription at any time from the customer portal. Cancellation takes effect at the end of your current billing cycle. You may export your data before the account is closed.

By us: We may suspend or terminate your access if you breach these Terms, engage in abusive use, or fail to pay outstanding fees. We will provide reasonable notice where possible.

Effect: Upon termination, your right to use the Service and the Odoo module ceases. We will retain your data for 30 days post-termination to allow for export, after which it will be permanently deleted.

13. Indemnification

You agree to indemnify and hold harmless odooPXL, its officers, directors, and employees from any claims, damages, or expenses arising from (a) your breach of these Terms, (b) your violation of applicable law, or (c) your misuse of end-user data processed through the Service.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Alameda County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy and DPA, constitute the entire agreement between you and odooPXL.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our written consent.
